You agree to indemnify, defend, and hold harmless Central Health, its affiliates and their respective officers, directors, employees and agents from and against any liability or obligation including all losses, expenses, liabilities, damages and costs, including without limitation reasonable attorney’s fees, resulting from or arising from your breach of these Terms or any copyright infringement, misappropriation, misuse, gross negligence, intentional misconduct, or violation of applicable law relating to your use of Central Health’s Portal or the Content therein. You may not transfer or assign any rights or obligations under these Terms. You will cooperate with us in asserting any available defenses in any litigation.

Governing Law and Venue

Any claim relating to this Portal shall be governed by the laws of the State of Texas without regard to its conflict of law provisions. Each party to these Terms of Use submits to the exclusive jurisdiction of the state and federal courts sitting in the County of Travis in the State of Texas, and waives any jurisdictional, venue, or inconvenient forum objections to such courts.

Severability

If any provision of these Terms of Use is held to be unenforceable or invalid by a court of competent jurisdiction, the remaining portions of the Terms of Use will be determined without the unenforceable or invalid provision. All other Terms of Use will remain in full force and effect.
